TUTEEMI’S TUTOR AGREEMENT
This "Agreement" is entered into on the Effective Date by and between:“You,” the “Tutor”TUTEEMI CO., LTD., a company duly incorporated and existing under the laws of the Republic of China (Taiwan), with its registered office at No. 178, Section 1, Keelung Rd, Xinyi District, Taipei City, 110 (the “TUTEEMI”)BACKGROUND

A. TUTEEMI is a business built on matching You to tutees who are looking for tutors. It requires a large pool of tutors to provide tutoring services.

B. You are a tutor who wishes to join TUTEEMI’s tutor pool, subject to the terms and conditions set forth in this Agreement, and are able to meet the service standards TUTEEMI expects, as detailed in the TUTEEMI STANDARDS.

1. Services and Appointment
1.1. This Agreement commences on the Effective Date and will continue until terminated by either party in accordance with Clause 11.
1.2. TUTEEMI appoints you to perform Services for it from time to time under this Agreement's terms.
1.3. Throughout this Agreement, “Services” refers to the tutoring services communicated via LINE, social media, email, phone, text, or in person.2. Obligations of the Tutor2.1. The Tutor shall provide tutoring services in accordance with TUTEEMI STANDARDS and any additional instructions.
2.2. The Tutor shall comply with all laws and regulations applicable to the Services.
2.3. The Tutor shall keep accurate records of the Services and provide such records to TUTEEMI upon request.
3. Payment
3.1. TUTEEMI will pay the Tutor for the Services in accordance with the payment terms outlined in TUTEEMI STANDARDS.
3.2. Fees are inclusive of all expenses, including travel and tax expenses. For payments exceeding 20,000 NTD, TUTEEMI will deduct income tax. Otherwise, tutors assume responsibility for personal income tax.
4. Intellectual Property Rights
4.1. The Tutor acknowledges that any intellectual property created in connection with the Services will vest in TUTEEMI.
4.2. The Tutor shall not use TUTEEMI’s intellectual property without written consent.
4.3. Use of Photos and Branding: The Tutor agrees that TUTEEMI may use their photos, likeness, or videos for marketing and branding purposes. This includes, but is not limited to, social media, website content, and promotional material, provided that such use aligns with the promotion of TUTEEMI services.
5. Confidentiality
5.1. The Tutor shall keep all information from TUTEEMI and its tutees confidential, including performance data and teaching materials.
5.2. The Tutor shall not disclose any confidential information without TUTEEMI’s written consent.
6. Termination
6.1. Either party may terminate this Agreement with written notice if the other party commits a material breach and does not remedy it within 30 days.
6.2. TUTEEMI may immediately terminate the Agreement if the Tutor breaches any material provisions or behaves detrimentally.
6.3. Upon termination, all TUTEEMI property must be returned.
6.4. After termination, the Tutor cannot claim any connection to TUTEEMI unless agreed upon in writing.
7. Status
7.1. The Tutor is a self-employed individual, not an employee of TUTEEMI.
7.2. The Tutor is personally responsible for providing the Services, even if done by someone else on their behalf.
7.3. No agency relationship exists between TUTEEMI and the Tutor.
8. Performing the Services – Practicalities
8.1. TUTEEMI is not obligated to provide a minimum amount of work, nor are you obligated to complete a specific amount.
8.2. You must indicate your availability when joining and at regular intervals.
8.3. You are expected to be as flexible as possible to meet TUTEEMI’s needs.
8.4. Regular communication about availability is required.
8.5. If you are unable to work during an agreed period, inform TUTEEMI immediately.
9. Fees and Invoicing
9.1. TUTEEMI will pay a monthly fee for completed services, which may vary by case.
9.2. You indemnify TUTEEMI against any tax claims related to the services.
10. Warranties
10.1. The Tutor warrants that:(a) They are a self-employed contractor.(b) They have the necessary visas to work in Taiwan.(c) They are responsible for paying any required taxes.(d) They have no criminal convictions.(e) They will comply with TUTEEMI Standards.
11. Confidentiality and Data Protection
11.1. During the course of the Agreement, the Tutor may receive confidential information.
11.2. The Tutor will not use or disclose any confidential information except for this Agreement's purposes.
11.3. The Tutor must comply with TUTEEMI’s Data Protection Policy.
11.4. Personal Data must be kept secure and protected from unauthorized access.
11.5. Any unauthorized use of Personal Data must be reported immediately to TUTEEMI.
12. Insurance
12.1. The Tutor must obtain appropriate insurance at their own cost for the Services provided.
13. Liability and Indemnity
13.1. The Tutor is fully responsible for the performance of the Services and will indemnify TUTEEMI for any losses caused by negligence.
13.2. The Tutor will indemnify and hold TUTEEMI harmless from any claims, losses, or liabilities arising from the use of Services or any violations.
14. Right to Appoint Substitute
14.1. The Tutor may arrange for a registered substitute with TUTEEMI's prior approval. All obligations will transfer to the substitute.
15. Confidentiality and Detrimental Remarks
15.1. The Tutor must not disclose TUTEEMI’s trade secrets or confidential information unless required by law.
15.2. Confidential Information includes personal data, teaching materials, business methods, pricing strategies, and other details disclosed during the services.
15.3. Detrimental or derogatory comments about TUTEEMI, its officers, or tutors are prohibited.
16. Non-Compete Clause
16.1. The Tutor agrees that, during the term of this Agreement and for a period of 6 months following its termination, they will not directly or indirectly engage in any business that competes with TUTEEMI’s tutoring services within Taiwan.
16.2. The Tutor shall not solicit, recruit, or hire any current or former tutees or tutors of TUTEEMI for any competing service during the non-compete period.
16.3. Violation of this clause may result in legal action and penalties.
17. Data Protection and Monitoring
17.1. TUTEEMI reserves the right to make changes to this Agreement at any time.
17.2. Only TUTEEMI and the Tutor have rights to enforce this Agreement.
17.3. Relaxations or waivers of rights do not constitute future waivers.
17.4. This Agreement constitutes the entire agreement between the Tutor and TUTEEMI.
17.5. This Agreement is personal and cannot be transferred without written consent.
17.6. This Agreement is governed by Taiwan law and any disputes will be resolved in the Taipei District Court.
18. Agreement to Terms Upon Application
18.1. By applying to become a tutor with TUTEEMI and/or engaging in any tutoring services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this Agreement.
18.2. This Agreement will apply from the moment of your application to TUTEEMI, whether or not you have commenced tutoring services, and will continue for the duration of your engagement with TUTEEMI.
18.3. If you do not agree to the terms and conditions outlined in this Agreement, you should not proceed with your application or provide any tutoring services through TUTEEMI.

TUTEEMI Standards Tutors must maintain regular communication, prepare lessons in advance, and meet confidentiality and other standards set by TUTEEMI.

Cancellation and Late Arrival Policy
Tutee Cancellations: 24-hour notice is required; otherwise, fees will be charged.
Tutor Cancellations: 24-hour notice is required; the lesson should be rescheduled.
Late Arrivals: Lessons will not be adjusted for the tutee’s late arrival.
Tutors are responsible for making up the time lost if they are late.

‍Purpose of the Service
The purpose of TUTEEMI’s platform is to help parents and tutees (students) connect with qualified tutors for language learning. We provide a fast, convenient process to match users with suitable tutors through our platform.

1. Copyright and Trademark
1.1. All content on the TUTEEMI platform, including text, graphics, images, photos, and materials, is owned by TUTEEMI and protected by copyright and trademark laws in Taiwan, ROC.
1.2. Users agree to respect these intellectual property rights and are prohibited from reproducing or distributing any materials without TUTEEMI’s written consent.
2. Purpose of the Platform
2.1. TUTEEMI is a platform for matching tutees (students) with tutors. It does not provide employment services or job placement assistance.
2.2. TUTEEMI assumes no responsibility for any professional or personal relationships formed between tutees/parents and tutors.
2.3. Parents and tutees bear full responsibility for any legal, financial, or contractual arrangements made with tutors outside of the platform.
3. Background Checks and Verification
3.1. TUTEEMI conducts background checks on tutors, including verification of identification and teaching qualifications.
3.2. While TUTEEMI verifies tutor information to the best of its ability, parents are encouraged to perform their own due diligence before hiring a tutor, particularly for minors.
3.3. TUTEEMI will not be held liable if any tutor information is found inaccurate or incomplete after verification.
4. Liability Waiver
4.1. TUTEEMI acts solely as a platform for connecting tutees and tutors. It is not responsible for any incidents, disputes, or misconduct that occur during or outside tutoring sessions.
4.2. Any disputes, claims, or damages between a tutor and tutee/parent must be resolved directly between the involved parties.
4.3. TUTEEMI disclaims any liability for financial, personal, or other losses resulting from the use of tutoring services.
5. Photo Usage Consent
5.1. By using TUTEEMI’s services, parents and tutees agree that any photos shared in communications may be used by TUTEEMI for promotional or marketing purposes.
5.2. Parents and tutees can request that specific photos not be used by notifying TUTEEMI, and the company will honor such requests.
6. Tutee and Parent Responsibilities
6.1. Parents and tutees are responsible for verifying the tutor’s qualifications before engaging their services and ensuring that the tutor meets their learning needs.
6.2. Both tutors and parents/tutees must maintain professional conduct during all communications and tutoring sessions.
6.3. Any misconduct or violation of agreed-upon terms should be reported to TUTEEMI immediately for review.
7. Parental Supervision
7.1. For tutees under the age of 18, parents or guardians are encouraged to be present during tutoring sessions, especially for online or in-home lessons.
7.2. TUTEEMI advises parental involvement to ensure a safe and effective learning environment for minors.
8. Cancellation and Refund Policy
8.1. The platform operates on a prepayment basis. Refund requests are subject to a 10% handling fee.
8.2. Cancellation requests made at least 24 hours before a scheduled session will not be charged. Cancellations made within 24 hours will result in the full fee being charged.
8.3. Both parties must mutually agree on a new time for rescheduling a session.
9. Non-Solicitation of Tutors
9.1. Parents and tutees agree not to solicit or hire tutors introduced through TUTEEMI for private services outside of the platform.
9.2. This restriction applies during the user’s engagement with TUTEEMI and for six months after the termination of services with the platform.
9.3. Violation of this clause may result in legal action or financial penalties.
10. Force Majeure Clause
10.1. TUTEEMI will not be held liable for any delays or failure to perform caused by events beyond its control, including:Natural disasters (e.g., earthquakes, typhoons)Pandemics, epidemics, or public health emergenciesGovernment restrictions, regulatory changes, or law enforcementInternet or telecommunication disruptions
10.2. In such cases, sessions can be rescheduled or services terminated without penalty.
11. Dispute Resolution Process
11.1. In the event of a dispute between a tutor and a tutee/parent, TUTEEMI encourages both parties to resolve the matter directly.
11.2. If an amicable resolution cannot be reached, TUTEEMI may act as a mediator but assumes no legal liability for the outcome.
11.3. Any unresolved disputes must be resolved in accordance with the governing law section outlined below.
12. Indemnification Clause
12.1. Parents and tutees agree to indemnify and hold harmless TUTEEMI, its directors, employees, and agents from any claims, liabilities, or expenses arising from their use of the platform.
12.2. This includes disputes with tutors, violations of the terms, or legal issues arising from the parent’s or tutee’s actions.
13. Agreement to Terms Upon Application
13.1. By using TUTEEMI’s services, parents and tutees acknowledge that they have read, understood, and agree to the terms and conditions outlined in this agreement.
13.2. These terms take effect upon the parent’s or tutee’s application to use the platform and remain valid throughout the duration of their use.
13.3. If parents or tutees do not agree to these terms, they must stop using the platform immediately.
14. Governing Law and Court Jurisdiction
14.1. These Terms of Service shall be governed by the laws of the Republic of China (Taiwan).
14.2. Any legal disputes arising from these terms will be subject to the exclusive jurisdiction of the Taipei District Court.

3. 背景調查與身份驗證
3.1. TUTEEMI 會對導師進行背景調查，包括驗證其身份和教學資格。3.2. 雖然 TUTEEMI 會盡力驗證導師信息，但家長仍應在雇用導師之前進行自我審查，特別是對未成年人而言。3.3. 若驗證後發現導師的資訊不正確或不完整，TUTEEMI 不承擔任何責任。
4. 責任免除
4.1. TUTEEMI 僅作為連接學生和導師的平台，對於課程中或課程外發生的任何事件、糾紛或不當行為不承擔責任。4.2. 導師與學生/家長之間的任何糾紛、索賠或損害應由雙方自行解決。4.3. TUTEEMI 對於因使用導師服務而造成的財務、個人或其他損失不承擔任何責任。
5. 照片使用同意
5.1. 使用 TUTEEMI 服務即表示家長和學生同意任何在溝通中共享的照片可能會被 TUTEEMI 用於推廣或行銷用途。
5.2. 家長和學生可以請求不使用特定的照片，並通知 TUTEEMI，公司會尊重並遵守此要求。
6. 學生與家長責任
6.1. 家長和學生有責任在聘請導師之前驗證其資格，並確保導師符合他們的學習需求。
6.2. 導師和家長/學生在所有溝通和課程中均應保持專業行為。
6.3. 任何不當行為或違反協議的行為應立即向 TUTEEMI 報告，以供審查。
7. 家長監督
7.1. 對於未滿18歲的學生，建議家長或監護人在課堂期間，特別是在網上課程或家教課程時在場。7.2. TUTEEMI 鼓勵家長參與，以確保未成年人有一個安全且有效的學習環境。
8. 取消與退款政策
8.1. 平台實行預付制。退款申請需扣除 5% 的手續費。
8.2. 在預定課程的24小時前取消將不會產生費用。24小時內取消將收取全額費用。
8.3. 雙方應共同同意重新安排課程時間。
9. 導師不邀請條款
9.1. 家長和學生同意不得私下邀請或聘請經 TUTEEMI 介紹的導師，進行平台外的私人服務。
9.2. 此限制適用於用戶在 TUTEEMI 上的使用期間，並且在平台服務終止後的六個月內仍然有效。
9.3. 違反此條款可能會導致法律訴訟或經濟處罰。
10. 不可抗力條款
10.1. 若因不可抗力事件導致服務延遲或無法履行，TUTEEMI 不承擔責任，包括但不限於：自然災害（如地震、颱風）疫情、公共衛生緊急事件政府限制、法規變更或執法互聯網或電信中斷
10.2. 在此情況下，課程可以重新安排或服務終止，無需承擔責任。
11. 糾紛解決程序
11.1. 若導師與學生/家長之間發生糾紛，TUTEEMI 鼓勵雙方直接解決。
11.2. 若雙方無法達成和解，TUTEEMI 可以作為調解人，但不承擔法律責任。11.3. 未解決的糾紛應根據下述的法律條款進行解決。
12. 賠償條款
12.1. 家長和學生同意賠償並使 TUTEEMI、其董事、員工和代理人免於因使用平台而引起的任何索賠、責任或費用。
12.2. 這包括與導師的糾紛、違反條款或由家長或學生的行為引起的法律問題。
13. 申請使用即同意條款
13.1. 使用 TUTEEMI 服務即表示家長和學生已閱讀、理解並同意本協議中的條款和條件。
13.2. 本條款自家長或學生申請使用平台之日起生效，並在整個使用期間有效。
13.3. 若家長或學生不同意本條款，應立即停止使用該平台。
14. 準據法與管轄法院
14.1. 本使用條款應受中華民國（台灣）的法律管轄。14.2. 因本條款引起的任何法律爭議將由台北地方法院專屬管轄。
